Nicholas S. Penn


Nicholas Penn's practice involves a wide range of transactional matters for corporate, nonprofit, and government clients. He has particularly deep experience with municipal entities and public utilities. 

Nicholas' work has included the disposition of federal government assets (through bulk and individual sales, structured sales, and securitizations), as well as municipal bond issuances, corporate acquisitions, and sales. He also provides day-to-day counsel to a variety of corporate and nonprofit clients, advising on corporate organization and management structure, as well as preparation of articles of incorporation, corporate bylaws, and government filings.

In addition, Nicholas' practice includes administrative law and regulatory matters as an advisor to regulated public utilities appearing before the Public Service Commission of the District of Columbia. He has also been regularly engaged by clients in regulatory appeals matters, preparing appellate briefs and arguing before the U.S. Court of Appeals for the District of Columbia. 

Representative Experience

  • Advised Events DC (the official Washington convention and sports authority) in the negotiation of all key transaction documents, including the ground lease, funding and development agreement, and room block agreement for the Marriott Marquis hotel that was constructed adjacent to the Walter E. Washington Convention Center.
  • Represented the District of Columbia Office of the Deputy Mayor for Planning and Economic Development in connection with development dispositions, including the negotiation and drafting of land disposition agreements, deeds, construction and use covenants, affordable housing covenants, and easements. He was part of the team that helped to advise the District in connection with its new Major League Soccer stadium.
