Parker Poe Adams & Bernstein LLP is pleased to announce the firm represented EUKALIN Corp. and its German parent company in an acquisition to expand its North American business. EUKALIN acquired 100% of the assets of Pennsylvania-based Adhesives Specialists. It was EUKALIN’s first acquisition outside of Germany.

EUKALIN is one of the leading adhesives producers for paper and film converting worldwide, and it has been active in the North American market with EUKALIN Corp. since 2008. In its deal with Adhesives Specialists, EUKALIN acquires not only a production facility but also technology and deep knowledge about a subset of the adhesives market.
Parker Poe drafted, negotiated, and closed all transaction documents for the purchase of Adhesives Specialists’ assets, as well as the purchase from the affiliate owner of the real estate and buildings used in the business. Parker Poe also advised on the internal reorganization of the U.S. subsidiary and parent.
The team at Parker Poe representing EUKALIN was led by Charleston counsel Steve Britt and Charlotte partner Al Guarnieri. It included Greenville special counsel Jenny Adamson, Charleston associate Olivia Daly, and Charlotte counsel Andrew Lopez.
