Sarah Hutchins leads the firm's Cybersecurity & Data Privacy Team and is certified as a legal specialist in privacy and information security law by the North Carolina State Bar.

Sarah helps clients navigate business litigation, government investigations, and data privacy, cybersecurity, and artificial intelligence (AI). She has significant experience representing clients in business disputes, including over noncompetition and non-solicitation agreements, trade secret misappropriation, and unfair and deceptive trade practices. She represents clients across a range of industries, including financial services, energy, manufacturing, and healthcare. Her deep understanding of the digital aspects of business litigation allows her to assist clients in quickly identifying a digital trail and isolating key material.

Sarah also has extensive experience in large-scale government investigations featuring the U.S. Department of Justice (DOJ), the Securities and Exchange Commission (SEC), the Federal Trade Commission (FTC), the Financial Industry Regulatory Authority (FINRA), and the Consumer Financial Protection Bureau (CFPB), among other regulators. Her work includes investigations involving alleged financial fraud, antitrust issues, and consumer protection claims, as well as representing both corporations and individuals in high-stakes enforcement actions and parallel proceedings. A seasoned litigator, she is admitted to practice before state and federal courts in North Carolina and Virginia, the Fourth Circuit Court of Appeals, the U.S. District Court for the District of Columbia, and the District of Columbia Court of Appeals.

Sarah's experience with business litigation and government investigations strengthens her cybersecurity and data privacy practice. She is recognized by the IAPP as a Certified Information Privacy Professional/United States (CIPP/US), the gold standard for privacy professionals in America, and serves on the leadership council of the North Carolina Bar Association's Privacy & Data Security Section. This background informs her role as lead counsel in high-stakes data privacy and cybersecurity litigation, including putative class actions and insurance subrogation matters stemming from large-scale security incidents. She defends public and private companies in federal and state courts, including business courts, and in related appellate proceedings. Her work includes data breach class actions involving nationwide companies and complex statutory claims under state privacy laws, as well as other civil litigation involving data privacy, security, and information technology.

Sarah counsels multinational corporations on compliance with federal and state data privacy and security regulations, advises on the cross-border transfer of personal data, coordinates data breach responses with governmental and quasi-governmental entities, including statutory notice obligations and regulator engagements, and guides clients through the intersection of data privacy and AI. She regularly advises on compliance with a wide range of U.S. and international privacy laws and emerging state privacy regimes. Her work includes designing and implementing data governance programs, advising on the storage, use, and sharing of consumer and customer information, and developing and negotiating data processing, information security, and data sharing agreements. She also advises on privacy and cybersecurity considerations in mergers and acquisitions, including diligence and post-closing integration, and on cross-border data transfers.

Within Parker Poe, Sarah serves as a member of the firm's Professional Review Committee and its Security Team.

While at the William & Mary School of Law, she was a member of the Journal of Women and the Law and the William & Mary Moot Court Team.

Representative Experience

Business Litigation

  • Represented a financial institution in complex commercial litigation and payment security, achieving dismissal and successfully defending that result on appeal before the North Carolina Court of Appeals.
  • Litigated numerous unfair competition, misappropriation of trade secrets, and restrictive covenant disputes, including FINRA arbitrations involving financial advisors and related claims for breach of contract and duty of loyalty, with successful outcomes at the injunctive stage and in dispositive motion practice.
  • Successfully steered a leading global technology company through a series of litigations, arbitrations, disputes, and government investigations stemming from a cybersecurity incident.
  • Advised a company regarding civil and regulatory claims related to use of third-party algorithmic pricing software and allegations of anticompetitive behavior.
  • Successfully defended a complex breach of contract allegation before the Fourth Circuit Court of Appeals.
  • Represented a chemicals manufacturer in a trade secrets dispute involving allegations of misappropriation by a former executive, including management of complex forensic discovery.

Government & Internal Investigations

  • Successfully defended a client in a three-week, high-profile political bribery trial. The federal trial involved allegations against a billionaire political donor attempting to bribe North Carolina's insurance commissioner. A jury found the donor, Greg Lindberg, and one of his associates guilty but found our client not guilty.
  • Represented a manufacturing company in connection with a significant executive embezzlement scheme, including an internal investigation, pursuing civil claims that resulted in acquisition of misappropriated assets, and supporting related criminal proceedings against the former executive.
  • Represented broker-dealers facing regulatory scrutiny from the SEC and FINRA over alleged off-channel communications.
  • Led representation of an individual subpoenaed for grand jury testimony with regard to an investigation by a U.S. Attorney and the U.S. State Department.
  • Represented an auto parts manufacturing company in an investigation conducted by the Antitrust Division of the Department of Justice that resulted in no enforcement action being taken.
  • Represented an asset management firm and its principals in a Securities and Exchange Commission (SEC) investigation that resulted in no enforcement action being taken despite criminal sentences levied against alleged co-conspirators.
  • Represented numerous corporate and individual clients investigated by the DOJ and other enforcement agencies for financial and regulatory crimes, including alleged participation in Ponzi schemes.
  • Assisted national conglomerate in an SEC investigation that resulted in no enforcement action being taken.
  • Counseled a hospital during a wide-scale state insurance investigation where no substantive sanctions were levied against the healthcare facility.
  • Advised corporate and individual clients under investigation by consumer protection agencies, including the Consumer Financial Protection Bureau (CFPB) and Federal Trade Commission (FTC).
  • Defended a client in connection with a merger and acquisition questioned by the FTC, including participating in one of the only post-merger trials prosecuted by the FTC in recent years.
  • Counseled companies on antitrust compliance and guided sales forces on appropriate competitive tactics.

Cybersecurity, Data Privacy & Consumer Protection

  • Represented a national real estate company in a putative class action following a data breach alleging violations of the California Consumer Privacy Act and related statutes.
  • Represented a public institution in multiple putative class actions arising from a cybersecurity incident, including proceedings before the North Carolina Business Court involving governmental immunity and contract formation issues.
  • Represented a national footwear chain in a putative class action in the Northern District of California alleging violations of the California Invasion of Privacy Act (CIPA) based on website pixel tracking and related wiretapping and eavesdropping claims, resulting in voluntary dismissal of the action.
  • Represented footwear and apparel companies in a putative class action under Illinois’ Biometric Information Privacy Act (BIPA) alleging unlawful collection and use of biometric data.
  • Represented a financial institution in a putative class action arising from a third-party data breach involving a vendor’s document management platform, resulting in voluntary dismissal of the claims following negotiations.
  • Represented clients in highly regulated industries, including an education technology vendor in one of the largest breaches impacting K-12 data.
  • Represented a North Carolina state institution in numerous putative class actions arising from alleged data security incident.
  • Defended a data broker in sweeping, industry-wide litigation involving challenges under New Jersey’s Daniel’s Law concerning the constitutionality of restrictions on disclosing residential address data, with related proceedings before the Third Circuit.
  • Advised a national automotive retailer in connection with a major data security incident involving a third-party vendor, including guidance on contractual considerations, waiver issues, and reporting obligations to the FTC.
  • Advised clients on compliance strategies and risk mitigation measures related to the Telephone Consumer Protection Act (TCPA) and CAN-SPAM, including proactive controls to reduce exposure to litigation and regulator enforcement.
  • Developed data processing agreements, information security agreements, and data sharing agreements tailored to clients' specific needs.
  • Designed BYOD and mobile device programs, policies, and terms of use for HIPAA-covered entities.
  • Advised buy-side clients on data privacy and cybersecurity during mergers and acquisitions.
  • Assisted clients in navigating the landscape of privacy laws applicable to their fields, such as HIPAA, GDPR, CCPA/CPRA, CIPA, VCDPA, CPA, UCPA, GLBA, COPPA, FERPA, state education privacy laws, and state utility privacy laws.
  • Counseled national and global organizations in numerous sectors, including manufacturing, technology, energy, and beyond, on data privacy, data security, and consumer protection to ensure compliance with federal and state privacy regulations as well as best practices.

Artificial Intelligence

  • Drafted guidance and advised clients on best practices for deploying AI and machine learning models, including generative AI systems for voice, text, and image outputs.
  • Developed and revised employment policies and procedures governing the appropriate use of AI.
  • Represented companies in negotiating contracts with leading providers of AI-HR software for recruiting and onboarding employees.
  • Advised property management companies in connection with a DOJ civil antitrust action in the Middle District of North Carolina involving allegations related to the use of AI-driven pricing algorithms by a third-party technology provider.
