Shelia Loring advises clients on commercial real estate leasing and lending. She is a leader of Parker Poe's Corporate Leasing Team and efficiently manages multiple large leasing teams for clients with national real estate portfolios. Clients benefit from her prior in-house experience with one of the largest U.S. banks, where she advised on leasing and real estate for corporate owned and occupied properties in excess of 10,000 locations worldwide. Clients also appreciate how she takes a whole-picture approach to providing counsel based on their business strategy. 

Additionally, Shelia represents banks and other financial institutions in secured financing transactions, as well as sellers, buyers, and developers in commercial real estate and leasing transactions. She has particular depth with construction lending, including reviewing opinion letters and SNDAs, conducting due diligence, and drafting and closing loans. She has advised on a broad range of properties, including apartments, hotels, shopping centers, self-storage facilities, distribution centers, warehouses, and marinas.

Representative Experience

Corporate Leasing

  • Represented landlords and tenants in drafting, reviewing, and negotiating leases, lease extensions, terminations, amendments, assignments, and subordination agreements.
  • Drafted and negotiated laboratory, retail, warehouse, and office leases, lease amendments, sale/leaseback agreements, reciprocal easement agreements, subleases, and purchase and sale contracts.
  • Reviewed and assessed lease portfolios to help companies gauge the value and risks of properties before they purchased them.
  • Managed national leasing and renewals for a leading life sciences company with over 3,500 locations in the United States.
  • Advised national retailers on new store leases for acquisitions up and down the East Coast, including build-to-suit and reverse-build-to-suit leases.
  • Represented a university in ground lease negotiations with utility provider in combined heat and power project.
  • Represented a major international furniture and wood products manufacturer on the ground lease negotiation for its first U.S. manufacturing facility.
  • Drafted and negotiated leases for financial institutions, including regional banks.
  • In prior role as in-house counsel, negotiated leases nationwide for office space, retail locations, ATMs, and critical data facilities for one of the largest U.S. banks.

Real Estate Lending

  • Represented lenders in all aspects of commercial construction projects for apartment complexes, office towers, shopping centers, hotels, and mixed-use projects.
  • Represented financial institutions in secured financing transactions, including commercial real estate transaction financings, asset-based financings, construction loans, acquisition and development loans, and revolving lines of credit loans.
  • Advised regional banks on a broad variety of their construction lending needs, including reviewing opinion letters and SNDAs, conducting due diligence, and drafting and closing loans.  
  • Represented a national bank as administrative agent in connection with a $167.8 million four-bank syndicated loan for construction of a 26-story, 745,000-rentable-square-foot office building.
  • Represented a national bank in connection with a multifamily rental property on land leased from the Metropolitan Atlanta Rapid Transit Authority (MARTA) for a project in Decatur, Georgia.
