Parker Poe applies technical legal skills with practical, hands-on experience to help our clients pursue and achieve their business objectives and manage commercial risk in their business transactions. Our pragmatic, goal-oriented approach emphasizes effective negotiation, sound counseling, and the closing of deals.

Our Contract Services Team has a deep bench and wide-ranging experience structuring, drafting, and negotiating all types of domestic and international commercial contracts – we have advised clients on everything from dairy digesters and tire recycling, to electronic medical records and stroke prevention software, to myriad consumer and business products. We help clients with a large volume of contracts every month and clients who only have a few contracts per month that are highly complex. In each case, we assist our clients in understanding and addressing commercial and legal risks, including product warranties, indemnities, payment structures, and damage limitations. When needed, we have extensive experience advising clients in contract disputes as well.

For recurring business transactions, we help clients attain a consistent approach by preparing a playbook of approved language for common contract terms based on a client’s overall goals. We can also provide training for contract teams to help clients manage risk for business transactions. For clients managing a large volume of contracts, we can guide them through assessment, selection, and implementation of contract software systems.  

We have particular industry experience in the automotive, biotechnology, chemical, building products, energy, health care, information technology, pharmaceutical, and textile sectors. Across the board, we tailor our services to the distinct needs of each client in each industry. We work closely with the management of our clients, particularly with in-house counsel.
